Extension of Substantial Shareholder Lock-in Agreement
Fulcrum Metals plc (LON: FMET), a company focused on mineral exploration and development in Canada, announces that Panther Metals plc ("Panther") has sold a total of 2,346,717 ordinary shares of 1 p each in the Company (the "Actions ordinaires") le 11 mars 2024 au prix moyen de 15.2 pence par Action Ordinaire (le "Transaction").

Accord de blocage
As set out in the Company's Admission Document dated 8 February 2023 (the "Document d'admission"), Panther entered into a lock-in agreement (the "contrat") with the Company, Allenby Capital Limited ("Capitale Allenby") et Clear Capital Markets Limited ("Capital clair"). In accordance with Rule 7 of the AIM Rules for Companies, the Agreement imposed a 12 month hard lock-in and a 12 month orderly market provision on Panther's shareholding in the Company, with effect from admission of the Company Ordinary Shares to trading on the AIM market of the London Stock Exchange on 14 February 2023 ("Admission").
Pursuant to the Transaction, Panther has on 11 March 2024 entered into a new lock-in agreement (the "Nouvel accord"), with the Company, Allenby Capital and Clear Capital, thereby imposing a hard lock-in period on the Panther Shares to 15 May 2025 and the orderly market provision on the Panther Shares for a year thereafter through to 15 May 2026.
The provisions of the New Agreement shall apply to the Panther Shares and any Ordinary Shares allotted and issued to or subsequently acquired by Panther during the locked-in period described in the New Agreement.

The New Agreement with Panther is deemed to be a transaction with a related party pursuant to rule 13 of the AIM Rules for Companies (the "Règles AIM") by virtue of Panther being a substantial shareholder of the Company (within the meaning of the AIM Rules). The directors of the Company (who, with the exception for Mitchell Smith, are all independent for the purposes of the transaction) consider, having consulted with the Company's nominated adviser, Allenby Capital Limited, that the terms of the New Agreement with Panther are fair and reasonable insofar as the Company's shareholders are concerned. In view of the fact that Mitchell Smith was a director of Panther until October 2023 the board have decided to not treat Mitchell Smith as an independent director for the purposes of this transaction.

Fulcrum détient actuellement une participation bénéficiaire de 100 % dans des projets d'or et de métaux de base très prometteurs en Ontario et dans des projets d'uranium en Saskatchewan.
La stratégie de Fulcrum est de se concentrer sur la découverte et la commercialisation de ses projets à travers des programmes d'exploration ciblés. Fulcrum a l'opportunité de réaliser un tel programme et cette approche offre la meilleure opportunité d'explorer pleinement la prospectivité significative des propriétés. Une récente étude structurale a identifié 42 cibles d'exploration prioritaires, dont 24 sur la propriété Big Bear et 18 sur la propriété Jackfish, avec 14 au total (9 sur Big Bear et 5 sur Jackfish) classées comme hautement prioritaires pour un suivi. Les propriétés ont le potentiel d'héberger un vaste prospect aurifère de formation de fer rubané (BIF), structurellement contrôlé, semblable au gisement Musselwhite (McNicoll et al., 2016), en plus d'un filon d'or filonien de roches vertes archéennes de style orogénique. prospect, s'étendant au-delà des limites des occurrences minérales historiques connues.
La propriété Tully, d'une superficie de 458 hectares, est située à 30 kilomètres au nord-est de Timmins, en Ontario et comprend le gisement Tully (Timmins Nord), qui a fait l'objet de plusieurs campagnes de forage depuis sa découverte en 1969. Le gisement Tully est situé à 2 kilomètres au sud-ouest du projet aurifère Bradshaw de Gowest Gold Ltd., actuellement en développement. On accède à la propriété par une route de gravier praticable en toutes saisons qui s'étend sur 15 kilomètres à l'est à partir de l'autoroute 655.
Bien que très prometteurs, les actifs miniers de Fulcrum sont en phase d'exploration, Fulcrum devrait donc être en mesure d'ajouter de manière significative à la valeur inhérente grâce au succès de l'exploration. Fulcrum examinera continuellement les opportunités présentant un potentiel et en vue d'augmenter la valeur actionnariale.
